TERMS AND CONDITIONS OF SUPPLY

Throughout these Terms and Conditions, the terms “we”, “us” and “our” refer to Functional Fragrances Ltd.
These Terms and Conditions apply to the supply of products via the Scentered Online Trade Portal and to any trade supply agreement between Functional Fragrances Ltd (“Seller”) and the approved trade customer (“Customer”).
By placing an order via the Trade Portal, you agree to be bound by these Terms.
These Terms are governed by English Law and you agree to submit to the non-exclusive jurisdiction of the English Courts. This does not affect your statutory rights.

2. TRADE ACCOUNT ELIGIBILITY
Trade accounts are granted at our sole discretion to approved retail and professional partners.
We reserve the right to:
- Refuse or withdraw trade status
- Amend trade discount levels
- Suspend accounts for misuse or breach of these Terms
Trade pricing and discounts are confidential and must not be publicly displayed or advertised without prior written consent.
3. PRICES
Unless otherwise stated:
- All prices are quoted in GBP
- Prices are exclusive of VAT
- VAT will be applied at the prevailing rate at time of order
- Online portal orders will display totals inclusive of VAT at checkout
We reserve the right to amend prices at any time without prior notice.
4. PAYMENT TERMS
Online Trade Portal Orders
Payment is taken in full at the time of order via the online portal.
5. DELIVERY
Deliveries are arranged via a reputable parcel carrier.
- Orders under £300 ex VAT are subject to a £10 delivery charge.
- There is no minimum order value.
- Customers arranging their own carrier must notify us in advance.
Delivery times are estimates only and not guaranteed.
Risk in the goods passes to the Customer upon delivery.
Delivery Discrepancies
Any shortages, damages or incorrect goods must be reported within 48 hours of receipt to:

Claims must include evidential proof (photographs and delivery documentation).
Failure to notify within 48 hours may invalidate claims.
6. RETURNS & FAULTY GOODS
6.1 Standard Products
Returns are not accepted without prior written agreement.
6.2 Faulty Goods
If goods are faulty, please contact:

We will deal with the matter in accordance with your legal rights.
7. PRODUCT AVAILABILITY
All products are subject to availability.
We reserve the right to:
- Discontinue products
- Amend formulations or packaging
- Substitute equivalent products where necessary
9. INTELLECTUAL PROPERTY & COPYRIGHT
Scentered.com and all associated materials are the property of Functional Fragrances Ltd, including but not limited to:
- Text
- Logos
- Icons
- Images
- Graphics
- Video and audio clips
- Animations
- Software
- Trademarks
All rights are reserved worldwide.
You may download or print extracts for personal business use only.
Reproduction, distribution, modification, framing or commercial use without prior written consent is strictly prohibited.
Our status as the author and owner of content must always be acknowledged.
10. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
- We shall not be liable for indirect or consequential losses
- Our total liability shall not exceed the total value of the order giving rise to the claim
Nothing in these Terms excludes liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any matter that cannot be excluded under English law
11. FORCE MAJEURE
We shall not be liable for failure or delay in performance caused by events beyond our reasonable control, including but not limited to:
- Acts of God
- Supply chain disruption
- Carrier delays
- Government restrictions
- Strikes
- Raw material shortages
12. CHANGES TO THESE TERMS
We reserve the right to amend these Terms at any time.
Updated Terms will be posted on our website.
Continued use of the Trade Portal constitutes acceptance of the revised Terms.

All transactions are subject to our Conditions of Sale, available upon request.
